In accordance with PRM 1.6.4R, PensionBee Group plc ('PensionBee' or the 'Company') confirms that between 31 January 2026 and 31 March 2026, the Company issued a further 48,489 ordinary shares of £0.001 ('Shares') (ISIN: GB00BNDRLN84) under the PensionBee Group plc Omnibus Plan and the historical PensionBee Limited EMI Share Option Scheme.1

In accordance with Disclosure Guidance and Transparency Rule 5.6.1, the Company confirms that, as at 31 March 2026, its issued share capital comprised 237,957,392 Shares. The Company does not hold any Shares in treasury. The total number of voting rights attributable to the Shares is therefore 237,957,392.

The above figure of 237,957,392 Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Shares under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
