Total Voting Rights

SERCO GROUP PLC: VOTING RIGHTS AND CAPITAL In conformity with Rule 5.6.1 of the Financial Conduct Authority's DisclosureRules and Transparency Rules, Serco Group plc (the "Company") is required tonotify the market of the following: As at 31 December 2013 the Company's issued share capital consisted of499,328,896 ordinary shares of 2p each with voting rights. The Company holds noshares in treasury. Therefore the total number of voting rights in the Companyas at 31 December 2013 was 499,328,896 (the "Voting Rights Figure"). The Voting Rights Figure may be used by shareholders as the denominator for thecalculations by which they will determine if they are required to notify theirinterest in, or a change to their interest in, the Company under the FCA'sDisclosure Rules and Transparency Rules.
