RWS Holdings PLC31 January 2007 UPDATE TO TOTAL VOTING RIGHTS 31 January 2007 In conformity with the Transparency Directive's transitional provision 6, RWSHoldings plc ("the Company") makes the following notification. The Company announced on 24 January 2007 an exercise of options and admission ofordinary shares to trading on AIM. As a result of this admission, the Company's increased share capital consists of40,066,049 ordinary shares of 5 pence each with voting rights. No ordinaryshares are held in treasury. Therefore the total number of ordinary shares inthe Company with voting rights is 40,066,049. The above figure of 40,066,049 ordinary shares may be used by shareholders asthe denominator for the calculations by which they will determine if they arerequired to notify their interest in, or a change to their interest in, theCompany under the FSA's Disclosure and Transparency Rules.
