London, 1 September 2011: Ophir notifies the market that, after closing of the overallotment option in August in relation to the July Initial Public Offering, the Company's issued share capital as at close of business on 31 August 2011 was 321,697,408 ordinary shares of £0.0025 each. The Company does not hold any ordinary shares in treasury. 

Therefore, as at 1 September 2011, the total number of voting rights in the Company is 321,697,408.

Shareholders may use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules ("DTR").

This announcement is in conformity with DTR 5.6.1.
