In conformity with the Financial Services Authority's Disclosure and Transparency Rules, the issued share capital of Stagecoach Group plc as at 28 August 2008 was as follows:

Each Ordinary Share in issue carries one vote in the event of a poll of shareholders. No shares are held by Stagecoach Group plc in Treasury.
The total shares in issue has changed since 31 July 2008 as a result of shares issued to satisfy the exercise of share options by employees.
The above shares in issue of 719,035,125 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Stagecoach Group plc under the Financial Services Authority's Disclosure and Transparency Rules.
