As at 3 January 2012, the Company's issued share capital consists of 47,657,012 Ordinary shares of £0.01 each and 63,744,500 C shares of £0.01 each. The total issued share capital with voting rights is 111,401,512.

The above figure (111,401,512) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, GCP Infrastructure Investments Limited, under the FSA's Disclosure and Transparency Rules.
