As at 31 March 2012, Bunzl plc's capital consisted of 354,244,477 ordinary shares with voting rights of which Bunzl plc holds 23,325,000 ordinary shares in treasury. Therefore the total number of voting rights in Bunzl plc is 330,919,477.

The figure of 330,919,477 may be used by shareholders as the denominator for the calculations by which they will be determined if they are required to notify their interest in, or a change to their interest in, Bunzl plc under the FSA's Disclosure and Transparency Rules.
