De La Rue plc's issued share capital as at 31 December 2011 comprised 99,280,043 ordinary shares with voting rights. No ordinary shares are held in Treasury.

Therefore, the total number of voting rights in the Company is 99,280,043.

The above figure of 99,280,043 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, De La Rue plc, under the FSA's Disclosure and Transparency Rules.
