Voting Rights and Capital

In accordance with the UK Financial Conduct Authority's ("FCA") Disclosure and Transparency Rules (DTR 5.6.1), Indivior PLC (the "Company") announces that as at close of business on 30 January 2015:

· it had 718,577,618 issued ordinary shares of US$0.10 each admitted to trading. Each ordinary share carries the right to one vote in relation to all circumstances at the general meetings of the Company;

· no ordinary shares were held in treasury; and

· accordingly, the total number of voting rights in the Company is 718,577,618.

The total voting rights figure (718,577,618) may be used by shareholders and others with notification obligations as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
