VOTING RIGHTS AND CAPITAL In conformity with the Transparency Directive's transitional provision 6 andfurther to the Company's announcement on 18 December 2006, Halma p.l.c. confirmsthat its issued share capital has increased and now consists of 373,075,550ordinary shares with voting rights. The increase results from the issue ofshares to meet the exercise of options under the 1999 Company Share Option Plan. Halma p.l.c. holds 628,635 shares in Treasury. Therefore the total number of voting rights in Halma p.l.c. is 372,446,915. The above figure of 372,446,915 may be used by shareholders as the denominatorfor the calculations by which they will determine if they are required to notifytheir interest in, or a change to their interest in, Halma p.l.c. under theFSA's Disclosure and Transparency Rules.
