Total Voting Rights and Share Capital

Just Retirement Group plc hereby announces that, following Admission on 16 October 2015 of 63,525,672 New Ordinary Shares pursuant to the Company's Placing and Open Offer, the Company's total issued share capital consists of 564,397,402 Ordinary Shares of 10 pence each (nominal value) which all carry one voting right per share ("Ordinary Shares"). The Company does not hold any Ordinary Shares in Treasury.

The total number of voting rights in Just Retirement Group plc is 564,397,402, which figure may be used by holders of Ordinary Shares in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the Company under the FCA's Disclosure and Transparency Rules.
