TOTAL VOTING RIGHTS AND SHARES IN ISSUE

The Company's issued ordinary share capital at 15 May 2015 comprises 4,926,156,092 ordinary shares of 11 3/7p each and, in accordance with Rule 5.6.1R of the Disclosure and Transparency Rules, the total number of voting rights for the purposes of calculating disclosable interests in the Company's ordinary share capital is also, 4,926,156,092.

The Company is making block listing returns relating to shares issued under employee share plans to the UK Listing Authority covering the period from 19 November 2014 to 15 May 2015. Changes to the number of shares in issue since 18 November 2014 (including other changes already announced to market) are made up as follows:
