Low & Bonar PLC28 December 2006 Voting Rights and Capital In conformity with Transitional Provision 6 of the Transparency Directive, Low &Bonar PLC ("the Company") is obliged to notify the market of the total votingrights in the Company's traded securities. The Company's capital consists of 153,302,741 Ordinary shares of 25 pence eachwith voting rights and £100,000 6 per cent first cumulative preference stock,£100,000 6 per cent. second cumulative preference stock and £200,000 5.5 percent. third cumulative preference stock (the 'Preference Stock'). Provided thatpreference dividends remain paid in accordance with the Company's Articles ofAssociation, the Preference Stock do not carry voting rights. The Company doesnot hold any Ordinary shares in Treasury. The total number of voting rights in the Company is therefore 153,302,741. This figure should be used by shareholders as the denominator for thecalculation by which they will determine whether they are required to notify aninterest in, or a change to an interest in, the Company under the FSA'sDisclosure and Transparency rules.
