Each Ordinary Share in issue carries one vote in the event of a poll of shareholders. No shares are held by Stagecoach Group plc in Treasury.
The total shares in issue has changed since 30 September 2008 as a result of shares issued to satisfy the exercise of share options by employees.
The above shares in issue of 719,145,101 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Stagecoach Group plc under the Financial Services Authority's Disclosure and Transparency Rules.
