Total Voting Rights

ROTORK p.l.c. - VOTING RIGHTS AND CAPITAL

In conformity with the FSA's Disclosure and Transparency Rule 5.6, we wish to provide notification of the following as at 30th November 2012.

Rotork p.l.c.'s capital consists of 86,765,912 ordinary shares with voting rights. Rotork p.l.c. holds no treasury shares.

Therefore the total number of voting rights in Rotork p.l.c. is 86,765,912.

The above figure 86,765,912 may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest, or a change to their interest, in Rotork p.l.c. under the FSA Disclosure and Transparency Rules.
