Total Voting Rights

Pursuant to Rules 5.6.1 and 5.6.1A of the FSA's Disclosure and Transparency Rules, Resolution Limited ("the Company") notifies the market of the following:
The total number of voting rights in the Company is 1,376,188,989.
As at 6.00pm on 31 October 2011, the Company had issued 1,389,525,493 ordinary shares of no par value. On 1 November 2011, 13,336,504 shares were cancelled following completion of the share repurchase programme announced in June 2011. Each ordinary share carries the right to one vote in relation to in relation to all circumstances at general meetings of the Company. The Company does not hold any ordinary shares in treasury.

The share cancellations were made consequent to the share repurchase programme. The total of 25,700,138 is comprised of 2,186,543 shares repurchased but not cancelled in September plus 23,513,595 the total shares repurchased in October.
The 1,376,188,989 current balance may be used by shareholders (and others with notification obligations) as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
