Formation Group PLC22 December 2006 Formation Group plc (the "Company") Total Voting Rights For the purposes of the transitional provisions of the Financial ServicesAuthority's Disclosure and Transparency Rules, the total number of ordinaryshares of 1p each in the capital of the Company in issue as at the date of thisnotice is 126,361,196 with each share carrying the right to one vote. There are 1,400,000 shares held in treasury. Therefore, the total number of voting rights in the Company is 124,961,196.
