Total Voting Rights, Share Capital and Exercise of Over-allotment Option

In accordance with the requirements of the Financial Conduct Authority's Disclosure and Transparency Rule 5.6.1, the total number of ordinary shares of 10 pence of Aldermore Group PLC in issue as at 31 March 2015 was 339,062,500. Each share carries the right to one vote. There are no shares held in treasury.

The total number of voting rights is therefore 339,062,500.

The above figure may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Aldermore Group PLC under the Disclosure and Transparency Rules.

Credit Suisse, as the Stabilising Manager in connection with the initial public offering of ordinary shares in Aldermore Group PLC, exercised the Over-allotment Option (as described in the prospectus published by Aldermore Group PLC on 10 March 2015) in respect of 17,690,217 ordinary shares on 23 March 2015, taking the total number of ordinary shares that were subject to the initial public offering to 135,625,000. The Over-allotment Shares were sold at the offer price of 192 pence per ordinary share.
