As at close of business on Monday 28th March 2011, being the latest practical time before the release of Ultra's 2010 Annual Report and Accounts and Notice of Annual General Meeting, Ultra's share capital consists of 68,729,304 ordinary shares with voting rights. Ultra does not hold any ordinary shares in Treasury.

Therefore, the total number of voting rights in Ultra Electronics Holdings plc is 68,729,304 as at 28th March 2011.
