Godalming, UK, 31 March 2010: In line with the Transparency Directive's transitional provision 6, Sinclair Pharma plc (LSE: SPH) (the "Company") would like to notify the market of the following:

The Company's issued share capital at 31 March 2010 consists of 162,059,776 ordinary shares with a nominal value of 1 pence per share, with voting rights (one vote per ordinary share). The Company does not hold any ordinary shares in Treasury.

Therefore, the total number of ordinary shares in the Company with voting rights is 162,059,776.

The above figure of 162,059,776 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Service Authority's Disclosure and Transparency Rules.
