RWS Holdings PLC30 March 2007 RWS Holdings plcMarch 2007 UPDATE TO TOTAL VOTING RIGHTS 30 March 2007 In conformity with the Disclosure and Transparency Rules, RWS Holdings plc("RWS" or "the Company") makes the following notification. RWS announces that it has issued and allotted a total of 50,000 new ordinaryshares of 5p each ("New Shares") in the Company pursuant to an exercise ofoptions by a non-employee. Application has been made to the London StockExchange for the New Shares to be admitted to AIM ("Admission"). It is expectedthat Admission will occur on 4 April, 2007. As a result of this exercise of options, the Company's increased share capitalconsists of 40,116,049 ordinary shares of 5 pence each with voting rights. Noordinary shares are held in treasury. Therefore the total number of ordinaryshares in the Company with voting rights is 40,116,049. The above figure of 40,116,049 ordinary shares may be used by shareholders asthe denominator for the calculations by which they will determine if they arerequired to notify their interest in, or a change to their interest in, theCompany under the FSA's Disclosure and Transparency Rules.
