Total Voting Rights

GKN plc Voting Rights and Capital There have been no changes to the issued ordinary share capital of GKN plc orthe number of ordinary shares held by GKN plc in Treasury since GKN plc's totalvoting rights announcement on 3 November 2014. As at 30 November 2014 the issued ordinary share capital of GKN plc consistedof 1,660,529,859 ordinary shares of 10p each. Each ordinary share carries onevote. GKN plc holds 17,879,078 ordinary shares in Treasury. Therefore, thetotal number of voting rights in GKN plc is 1,642,650,781. The above figure (1,642,650,781) may be used by shareholders (and others withnotification obligations) as the denominator for the calculations by which theycan determine if they are required to notify their interest in, or a change totheir interest in, GKN plc under the Financial Conduct Authority's Disclosureand Transparency Rules.
