Total Voting Rights

In conformity with R 5.6.1 of the Disclosure and Transparency Rules, the Company notifies the market that, as at Wednesday 30 November 2016, the Company's issued ordinary share capital consists of 250,000,000 ordinary shares of £0.01 pence each. All of the ordinary shares have equal voting rights and there are no shares held in Treasury. The total number of ordinary shares with voting rights in the Company is 250,000,000 ordinary shares.

This figure of 250,000,000 ordinary shares may be used by shareholders in the Company as the denominator for the calculations to determine if they are required to notify their interest in, or a change to their interest in, the ordinary share capital of Biffa plc under the FCA's Disclosure and Transparency Rules.
