Total Voting Rights and Share Capital

In accordance with the Financial Conduct Authority's Disclosure Guidance and Transparency Rules sourcebook, the Company announces that as at 31 May 2017, the Company's issued share capital consists of 332,647,279 ordinary shares with a nominal value of 10 pence each ("Shares"). Bowleven holds 7,807,281 Shares in treasury. Therefore, the total number of voting rights in the share capital of the Company is 324,839,998 (one vote per Share).

The above figure of 324,839,998 may be used by shareholders as the denominator for the calculations by which to determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure Guidance and Transparency Rules sourcebook of the Financial Conduct Authority.
