TOTAL VOTING RIGHTS AND RULE 2.9 ANNOUNCEMENT

In accordance with the Financial Conduct Authority's ("FCA") Disclosure Guidance and Transparency Rule 5.6.1R, Shaftesbury PLC (the "Company") would like to notify the market of the following:

As at 3 March 2023, the Company's issued share capital consists of 385,170,775 Ordinary Shares of 25 pence each with voting rights. The Company does not hold any treasury shares. Therefore, the total number of voting rights in the Company is 385,170,775.

In addition to the above, and in accordance with Rule 2.9 of the Takeover Code, the Company confirms that, as at 3 March 2023, it had 385,170,775 Ordinary Shares of 25 pence each in issue and admitted to trading on the London Stock Exchange. The Company currently does not hold any Ordinary Shares in treasury. The Company's International Securities Identification Number ("ISIN") is GB0007990962.

The above figure (385,170,775) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
