Total Voting Rights and Issued Share Capital

In accordance with the provisions of the Disclosure Guidance and Transparency Rules issued by the Financial Conduct Authority, ITE announces that as at 11 July 2018, following the allotment of new ordinary shares pursuant to a rights issue and rump placing, the total number of ordinary shares of 1 pence each of ITE Group plc in issue is 741,618,456 with each share carrying the right to one vote at a general meeting.

ITE Group plc does not hold any shares in treasury.

The total number of voting rights in ITE Group plc is therefore 741,618,456. This figure may be used by shareholders as the denominator for the calculations by which they determine whether they are required to notify their interest in, or a change to their interest in, ITE Group plc under the Disclosure Guidance and Transparency Rules.
