Mitie Group plc (the "Company") - Voting Rights and Capital

Further to the announcement made on 3 August 2015 and in accordance with the Disclosure and Transparency Rules (DTR 5.6) the Company hereby notifies the market that, as at 31 August 2015, the issued share capital and voting rights of the Company were as follows:

Class of share: Ordinary 2.5p

Total number of issued shares: 375,097,933

Voting rights per share: 1

Total number of voting rights

for all classes of issued shares: 363,301,773

Total number of shares held

in treasury: 11,796,160

The above figure includes 7,265,893 shares currently held in the Company's employee benefit trust that are excluded from the Company's EPS calculation.

The total number of voting rights may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in the Company under the FCA's Disclosure and Transparency Rules.
