FirstGroup plc holds 160,779 of its ordinary shares intreasury. Therefore, the total number of voting rights in FirstGroup plc is481,906,391.

The above figure (481,906,391) may be used by shareholders as the denominatorfor the calculations by which they determine if they are required to notifytheir interest in, or a change in their interest in, FirstGroup plc under theFSA's Disclosure and Transparency Rules.
