VOTING RIGHTS AND CAPITAL

Chippenham, UK, 1 December 2016: In accordance with the Financial Conduct Authority's Transparency Directive, Transitional Provision 6, Vectura Group plc (LSE: VEC) ("the Company") wishes to notify the market of the following:

The Company's issued share capital as at 30 November 2016 consisted of 677,614,703 ordinary shares (previously 677,614,703 ordinary shares as at 31 October 2016) and 34,000 preference shares with no voting rights. The Company does not hold any ordinary shares in Treasury.

Therefore, the total number of ordinary shares in the Company with voting rights is 677,614,703.

The above figure of 677,614,703 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
