Sanderson Group PLC11 December 2006 Total voting rights In accordance with the transitional provisions of the Disclosure and Transparency Rules, Sanderson Group plc ("Sanderson") confirms that its issued share capital comprises 41,813,482 ordinary shares of 10p each. All of the ordinary shares have equal voting rights, and none of the ordinary shares is held in treasury. The total number of voting rights in Sanderson is therefore 41,813,482. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of Sanderson under the Disclosure and Transparency Rules.
