The following notification is made in accordance with the UK Financial Conduct Authority Disclosure Guidance and Transparency Rule 5.6.1.

On 29 November 2016, the issued share capital of HSBC Holdings plc with voting rights was 19,805,075,710 ordinary shares of US$0.50 (excluding treasury shares) and a further 262,861,789 ordinary shares of US$0.50 are held in Treasury.

Therefore, the total number of voting rights in HSBC Holdings plc is 19,805,075,710. This figure for the total number of voting rights may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, HSBC Holdings plc under the FCA's Disclosure Guidance and Transparency Rules.

These figures exclude the 5,362,084 ordinary shares purchased by the Company, which had not settled as at 29 November 2016.
