Total Voting Rights

Following the rights issue announced on 13 May 2009 and the transactions associated with that issue, Marshalls plc ("Marshalls" or the "Company") would like to notify the market that:

Marshalls' present issued share capital consists of 193,992,018 ordinary shares of 25p each ("Ordinary Shares"). The Company holds 2,425,000 Ordinary Shares in treasury.

Therefore, the total number of voting rights in respect of Marshalls' Ordinary Shares (excluding treasury shares) is 191,567,018.

The above figure (191,567,018 Ordinary Shares) may be used by shareholders as the denominator to determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
