Total Voting Rights

Date: 1 May 2014 SPECTRIS plc Voting Rights and Capital In conformity with the FCA's Disclosure and Transparency Rule 5.6.1 R we wouldlike to provide the market with an update on voting rights and capital at theend of the calendar month: * Spectris plc's issued share capital consists of 125,005,123 ordinary shares with voting rights. * As at 30 April 2014 there were 6,201,192 ordinary shares held in Treasury. Therefore, the total number of voting rights in Spectris plc is 118,803,931. The above figure (118,803,931) may be used by shareholders as the denominatorfor the calculations by which they will determine if they are required tonotify their interest in, or a change to their interest in, Spectris plc underthe FCA's Disclosure and Transparency Rules.
