Total Voting Rights

In accordance with the Financial Conduct Authority's Disclosure Guidance and Transparency Rules, the total number of Ordinary shares of 5p of the Company in issue at 31 May 2025 is 149,475,588* with each share holding one voting right. 

The Company also holds 69,824,590 Ordinary shares in Treasury.

The above figure (149,475,588*) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure Guidance and Transparency Rules.

* This figure includes the issue of 10,562,933 new Ordinary shares allotted upon the conversion of £30,949,618 nominal of Convertible Unsecured Loan Stock on 31 May 2025. Application is being made for the 10,562,933 new Ordinary shares to be admitted to the closed-ended investment funds category of the Official List of the FCA and to trading on the London Stock Exchange's main market for listed securities ("Admission"). Admission is expected to occur at 8.00 a.m. on 6 June 2025.
