Total Voting Rights

GKN plc Voting Rights and Capital In compliance with Rule 5.6.1 of the Financial Conduct Authority's Disclosureand Transparency Rules, as at 30 April 2014 the issued ordinary share capitalof GKN plc consisted of 1,660,529,859 ordinary shares of 10p each. Eachordinary share carries one vote. GKN plc holds 20,168,330 ordinary shares inTreasury. Therefore, the total number of voting rights in GKN plc is1,640,361,529. The above figure (1,640,361,529) may be used by shareholders (and others withnotification obligations) as the denominator for the calculations by which theycan determine if they are required to notify their interest in, or a change totheir interest in, GKN plc under the Financial Conduct Authority's Disclosureand Transparency Rules.
