Total Voting Rights

Wincanton Plc (“the Company”)In accordance with the FCA’s Disclosure and Transparency Rules (DTR 5.6.1), the Company would like to confirm that as at 31 October 2016 its issued share capital consists of 123,747,293 Ordinary Shares of 10 pence each, all of which carry one vote per share.

There have been no alterations to the issued share capital of the Company since the last announcement on 22 July 2016.

As at 31 October 2016, the Company continues to hold no Ordinary Shares in treasury.

Shareholders should use the denominator of 123,747,293 Ordinary Shares of 10 pence each for calculations to determine whether they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure Guidance and Transparency Rules.
