Amec Foster Wheeler plc (the "Company") - total voting rights and capital

As announced on Friday 16 January 2015, 4,257,025 Amec Foster Wheeler plc shares were admitted to trading on the London Stock Exchange today, 20 January 2015.

In accordance with disclosure and transparency rule 5.6.1 AR, the Company would like to notify the market that following the admittance of the new shares, the Company's registered capital consists of 393,132,868 ordinary shares, of which 4,759,118 are registered as treasury shares, leaving a balance of 388,373,750 shares with voting rights.

The figure of 388,373,750 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or change to their interest in, Amec Foster Wheeler plc under the FCA's Disclosure and Transparency Rules.
