London, 3 April 2012: Ophir notifies the market that, following the issue of 1,097,173 new ordinary shares earlier today as a result of the conversion of share warrants, the Company's issued share capital now consists of 397,511,529 ordinary shares of £0.0025 each. The Company does not hold any ordinary shares in treasury.

Therefore, as at 3 April 2012, the total number of voting rights in the Company is 397,511,529.

Shareholders may use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules ("DTR").
