In conformity with the Transparency Directive's transitional provision 6, we would like to notify the market of the following.
At close of business on 18 January 2007, the issued share capital of Friends Provident plc (the "Company") is 2,139,144,959 ordinary shares of 10p each of which 22,612,250 shares are held in treasury.
Accordingly, the Company's capital now consists of 2,116,532,709 ordinary shares with voting rights. This figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
