London, 2 April 2012: Ophir notifies the market that, following the issue of 30,500,000 new ordinary shares as a result of the Company's Placing, the Company's issued share capital on 2 April 2012 is 396,414,356 ordinary shares of £0.0025 each. The Company does not hold any ordinary shares in treasury.

Therefore, as at 2 April 2012, the total number of voting rights in the Company is at 396,414,356.

Shareholders may use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules ("DTR").

This announcement is in conformity with DTR 5.6.1.
