Voting Rights and Share Capital

In accordance with the FCA Disclosure and Transparency Rules (the DTR) we hereby notify the market that as at 30 September 2015:

BG Group plc's (the Company's) capital consisted of 3,622,396,050 ordinary shares of 10 pence each (Shares) in issue. The number of Shares held in Treasury was 204,691,731.

Therefore, the total number of voting rights in the Company is 3,417,704,319.

The above figure (3,417,704,319) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the DTR.
