The following notification is made in accordance with the UK Financial Services Authority Disclosure and Transparency Rule 5.6.1A.

As at 21 January 2011, the Company's capital consists of 767,857,997 ordinary shares each with voting rights. The Company does not hold any shares in treasury.

The above figure of 767,857,997 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, Meggitt PLC under the FSA's Disclosure and Transparency Rules.
