Weatherly International PLC14 December 2006 Weatherly International plc (the "Company") Confirmation of Issued Share Capital and Voting Rights In accordance with the transitional provisions of the FSA's Disclosure andTransparency Rules ("DTR"), the Company declares that as at the date of thisannouncement its Issued Share Capital comprises 339,763,872 ordinary shares of0.5 pence each. All of the ordinary shares have equal voting rights and none of the ordinaryshares are held in treasury. The total number of voting rights in the Company is therefore 339,763,872.
