Total Voting Rights

In accordance with the UK Financial Conduct Authority's ("FCA") Disclosure and Transparency Rules, WYG announces that as of 30 September 2014:

· it has 66,489,655 ordinary shares of 0.1 pence in issue. Each ordinary share carries the right to one vote in relation to all circumstances at the general meetings of the Company;

· it does not hold any ordinary shares in treasury; and

· accordingly, the total number of voting rights over ordinary shares in the Company is 66,489,655.

The total voting rights figure (66,489,655) may be used by ordinary shareholders and others with notification obligations as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
