TOTAL VOTING RIGHTS

JPMORGAN JAPAN SMALLER COMPANIES TRUST PLC

(the 'Company')

In conformity with the Transparency Directive the Company would like to notify the market of the following:

As at 30th December 2016 the Company's issued share capital consists of 55,944,560 Ordinary 10 pence shares, carrying one vote each. The Company also holds 624,500 shares in Treasury.

Therefore, as at 30th December 2016, the total number of voting rights for Ordinary shareholders in the Company is 55,320,060.

The above figure (55,320,060) may be used by Ordinary shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
