VOTING RIGHTS AND CAPITAL

In conformity with DTR 5.6.1 we would like to notify the market of thefollowing:

During May 2013, the Company allotted a total of 1,743,746 ordinary shares inconnection with the exercise and grant of awards under its Share Option Schemesand Performance Share Plan. As a result, the Company's issued share capital asat 31 May 2013 consists of 956,279,256 ordinary shares of 50 pence each withvoting rights. The Company does not hold any ordinary shares in treasury.

Therefore, the total number of voting rights in Intu Properties plc is956,279,256.

The above figure of 956,279,256 may be used by shareholders as the denominatorfor the calculations by which they will determine if they are required tonotify their interest in, or a change to their interest in, the Company underthe FSA's Disclosure and Transparency Rules.
