Irrevocable Undertaking: Offer by Pinafore Acquisitions Limited for Tomkins plc

On 26 July 2010, Schroder Investment Management Limited provided an Irrevocable Undertaking regarding our intentions in relation to 69,481,985 shares.

In accordance with The City Code on Takeovers and Mergers, Rule 2.11 (d)(i), we advise that, subject to clause 5 of the Irrevocable Undertaking, we have today disposed of 1,902,025 shares, and are no longer in a position to accept or procure the acceptance of the Offer, in relation to those shares.

Our intention in respect of 67,579,960 shares, being the remainder, remains as described in our Letter of Intent.
