AIR CHINA LIMITED (a joint stock limited company incorporated in the People's Republic of China with limited liability) (Stock Code: 753) PURCHASE OF 15 BOEING 737 AIRCRAFT MAJOR TRANSACTION TIME EXTENSION FOR DESPATCH OF CIRCULAR Reference is made to the Announcement of the Company published in the newspaperson 20 April 2006 in connection with the Boeing Aircraft Purchase Agreement andthe Transaction contemplated therein, which constitutes a major transaction forthe Company under the Listing Rules. The Company has applied to the Hong KongStock Exchange for an extension of the date for despatch of the Circular to theshareholders of the Company. The Company expects that the Circular will be available for despatch as soon as practicable but no later than 31 May 2006. Reference is made to the announcement of the Company published in the newspaperson 20 April 2006 (the "Announcement") in connection with the Boeing AircraftPurchase Agreement and the Transaction contemplated therein, which constitutes amajor transaction for the Company under the Listing Rules. Unless otherwisedefined herein or the context otherwise requires, all capitalized terms usedherein shall have the same meanings as defined in the Announcement. Pursuant to Rule 14.38 and Rule 14.40 of the Listing Rules, a circular thatcontains the information required under the Listing Rules in connection with theTransaction (the "Circular") is required to be despatched to the shareholders ofthe Company within 21 days after publication of the Announcement. As additionaltime will be required to finalize the Circular, in particular, to collate andprepare certain financial information including the indebtedness statement for inclusion in the Circular, the Company has applied to the Stock Exchange for waiver from strict compliance with the requirements under the Listing Rules in relation to the timing for the despatch of the Circular. The Company expects that the Circular will be available for despatch as soon as practicable but no later than 31 May 2006.
