On 2 March 2011 the Trustee of The Rank Group Employee Benefit Trust, established under a Trust Deed dated 4 October 1996 ("the Trust") informed The Rank Group Plc ("Rank") that on 1 and 2 March 2011 it had acquired 244,632 ordinary shares of 138/9p each in Rank at an average price of 130.4179 pence per share, in order to meet part of its anticipated future requirements for all participating employees under Rank's long-term share incentive plans.

As the Trust is a discretionary trust, all executive directors of Rank are deemed to be interested in the shares held by the Trust. We therefore advise you that the executive directors of Rank, being members of the class of potential beneficiaries, are now interested in a total of 1,000,287 ordinary shares of 138/9p each in Rank held by the Trustee.
