Report 47/2010: Appointment of members of the Supervisory Board of Bank Polska Kasa Opieki S.A.

 

The Management Board of Bank Polska Kasa Opieki S.A. informs that the Ordinary General Meeting of Bank Polska Kasa Opieki S.A. held on 28th April 2010 appointed Messrs. Sergio Ermotti and Roberto Nicastro to be members of the Supervisory Board of Bank Pekao S.A. for the current common term of office of the Supervisory Board, effective 29th April 2010.

As of 29th April 2010 the composition of the Supervisory Board shall be the following:

Jerzy Woźnicki - Chairman of the Supervisory Board,

Federico Ghizzoni - Deputy Chairman of the Supervisory Board,

Paweł Dangel - Member of the Supervisory Board,

Sergio Ermotti - Member of the Supervisory Board,

Oliver Greene - Member of the Supervisory Board,

Roberto Nicastro - Member of the Supervisory Board,

Enrico Pavoni - Member of the Supervisory Board,

Leszek Pawłowicz - Member of the Supervisory Board,

Krzysztof Pawłowski - Member of the Supervisory Board.

 

Sergio Ermotti

Member of the Supervisory Board of Bank Pekao S.A.

He is a Swiss Certified Banking Expert (Master/Federal Diploma) and a graduate of the Advanced Management Program at Oxford University.

Professional career

He began his career in 1975 in Corner Bank SA in Lugano. In 1986, he moved to Citibank NA in Zurich, where he traded equity-linked products and was promoted to the rank of Resident Vice President.

In 1987, he joined Merrill Lynch & Co. in Zurich as a Vice President. In Merrill Lynch Zurich he set up and founded the Swiss Franc capital markets business.

In 1993, he was named Managing Director and moved to London to become head of European Equity Derivatives.

In 1996 he was named Head of Global Equity Derivatives based in New York.

From 1997 to 1999 he served as Head of Global Equity Linked Products.

From 1998 he was also a member of the Executive Management Committee for Europe, Middle East and Africa based in London.

From 1999 to 2001 he served as head of Equity Markets for Europe, the Middle East and Africa, responsible for the firm's regional equity businesses.

Between 2001 and 2003 he served, with the title of Senior Vice President, as co-head of Global Equity Markets with responsibility for the firm's equity markets activities globally. He was also a member of the Executive Management Committee for Global Markets & Investment Banking and Merrill Lynch & Co.'s Operating Committee.

In January 2006 he joined UniCredit as Head of Markets & Investment Banking Division. In July 2007 he was nominated Group Deputy Chief Executive Officer of UniCredit Group with responsibility of the strategic areas Corporate & Investment Banking (CIB) and Private Banking.

According to the submitted declaration Mr. Sergio Ermotti does not carry out the competitive activity to the activity of Bank Pekao S.A. and is not recorded in Insolvent Debtors Register kept in accordance with the Domestic Court Register Act.

 

Roberto Nicastro

Member of the Supervisory Board of Bank Pekao S.A.

He graduated in business administration.

In 1988-1989, he was guest researcher at the Bocconi University's Business Management School.

From 1989 to 1991, he worked in M & A Department at Salomon Brothers in London.

From 1991 till 1997, he was Senior Manager at McKinsey & Co. responsible for strategic and organisations projects for banks, financial institutions regulatory authorities and consumer goods companies in Italy and Latin America.

In May 1997, he was taken on at Credito Italiano as Head of Planning and Participations.

In October 2000, he was appointed Head of the New Europe Division of the UniCredit Group in charge of developing and running a leading position in Central and Eastern Europe.

In November 2001, he was appointed Group Deputy General Manager.

On 1st August 2003, he was appointed Head of Retail Division and Chief Executive Officer of UniCredit Banca, the Group's bank in charge of Italian Retail.

Since July 2007, he is Group Deputy CEO with responsibility for Retail Area.

Positions held in governing bodies of companies and other organisations: 

Mr Nicastro is a Member of the Supervisory Boards of HVB - Munchen, Bank Austria AG - Vienna, UniCredit Bank Zao - Moscow. He is also Member of the Board of Banco Sicilia - Palermo and Member of the Executive Committee of ABI - Italian Banking Association in Rome.

In October 2009 he was appointed Chairman of EFMA (European Financial Management and Marketing Association).

According to the submitted declaration Mr. Roberto Nicastro does not carry out the competitive activity to the activity of Bank Pekao S.A. and is not recorded in Insolvent Debtors Register kept in accordance with the Domestic Court Register Act.
